Core Terms

1. Purpose

These terms govern your access to Crown Booth materials, workflows, discussions, systems, files, prototypes, opportunities, and other non-public information in connection with a potential or actual relationship with Crown Booth.

2. No employment, partnership, agency, or equity

Unless Crown Booth separately agrees in writing, these terms do not create any employment relationship, partnership, joint venture, agency, fiduciary relationship, authority to bind Crown Booth, compensation right, exclusivity right, or ownership or equity interest.

3. Confidentiality

You must keep Crown Booth’s non-public information strictly confidential and use it only for authorised Crown Booth purposes. You may not disclose, copy, publish, share, exploit, reverse engineer, or use Crown Booth confidential information except as expressly authorised in writing.

4. Contributions and ownership

To the fullest extent permitted by law, you assign to Crown Booth all right, title, and interest in any Contributions you create, develop, prepare, submit, or provide to or for Crown Booth in connection with this relationship, except for any pre-existing material you clearly identify in writing as your own Background IP.

5. User content carveout

These terms do not transfer ownership of end-user recordings, artist-uploaded content, or other public-service user materials where Crown Booth’s public terms or service-specific policies state that the user retains ownership and grants Crown Booth only a limited licence.

6. Restrictions

You must not use Crown Booth information or access to compete with Crown Booth, bypass Crown Booth in relation to opportunities or relationships first introduced through Crown Booth, misuse Crown Booth materials, misrepresent your relationship with Crown Booth, or use Crown Booth materials to support a competing or derivative offering based on Crown Booth confidential information.

7. Publicity and brand use

You may not publicly announce, describe, or imply a relationship with Crown Booth, or use Crown Booth’s name, trademarks, logos, handles, visuals, or other brand assets, without prior written approval.

8. Data, privacy, and acceptance records

Crown Booth may collect and store records needed to evidence assent, maintain security, administer the relationship, control access, prevent fraud, and comply with legal obligations.

9. No obligation to proceed

Crown Booth is under no obligation to continue discussions, grant further access, enter into any further agreement, or proceed with any collaboration, pilot, engagement, payment, partnership, investment, or opportunity.

10. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that Crown Booth may seek protective or injunctive relief in any court of competent jurisdiction where needed to protect its confidential information, intellectual property, systems, data, or business interests.

11. Authority and eligibility

You confirm that you are legally capable of entering into these terms, that the information you provide is accurate, and that if you accept on behalf of an entity, you have authority to bind it.

12. Limited access

Any access Crown Booth gives you is limited, revocable, non-exclusive, non-transferable, and only for the authorised purpose. Except as expressly stated, no licence, ownership right, or other interest is granted to you in any Crown Booth concept, system, design, material, confidential information, brand, recording, or opportunity.

13. Scope of Contributions

“Contributions” include deliverables, work product, ideas, designs, code, prompts, scripts, recordings, drafts, documents, technical work, business materials, improvements, modifications, and related intellectual property rights created, developed, prepared, submitted, or provided by you to or for Crown Booth in connection with the relevant relationship or workflow.

14. Background IP

You retain ownership of materials you created before your relationship with Crown Booth only if you clearly identify them in writing as your pre-existing property before or at the time of use or disclosure.

15. Further assurances

You will sign further documents and do further acts reasonably requested by Crown Booth to confirm, perfect, register, or enforce Crown Booth’s rights under these terms.

16. Moral rights and performance consents

To the fullest extent permitted by law, you waive any moral rights in Contributions and consent to Crown Booth editing, adapting, combining, publishing, omitting attribution, and otherwise using Contributions without further approval.

17. AI and data restrictions

Without Crown Booth’s prior written consent, you must not use Crown Booth confidential information, prompts, workflows, recordings, documents, code, designs, or other materials to train, test, benchmark, improve, or populate any artificial intelligence or machine learning system, dataset, vector store, or similar system.

18. Termination

Crown Booth may suspend, restrict, or terminate your access at any time, with or without notice.

19. Remedies

You acknowledge that breach of these terms may cause irreparable harm to Crown Booth, and that Crown Booth may seek injunctive relief, equitable relief, specific performance, and any other available remedies.

20. Disclaimers and liability

Except as expressly stated in a separate written agreement, Crown Booth materials, information, access, prototypes, and opportunities are provided as is and as available.

21. International use

These terms are intended to support electronic business-to-business collaboration across jurisdictions. They do not replace any special local legal formalities that may apply to specific categories of documents or transactions.

22. Entire agreement

These terms are the entire agreement between you and Crown Booth on this subject and supersede prior discussions or understandings relating to it.

23. Electronic signature

You agree that electronic presentation of these terms is effective, that electronic records relating to them may be used and relied upon, and that your electronic assent is intended to authenticate your acceptance and constitute your electronic signature.
